Welcome to MedusAuth.xyz (the “Website” or “Platform”), a token/NFT authentication and “token gating” service operated by Mida Labs s.r.l. (“Mida Labs,” “we,” “us,” or “our”), registered in Italy, located at Via S. Leonardo, 81, 80044 Ottaviano (NA), Italy. These Terms of Service (the “Terms”) govern your use of our SaaS product and related services (“Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Overview of the Service

Medusa is a subscription-based SaaS tool that enables “token gating.” Community owners (“Owner Users”) can integrate Medusa with their Discord servers to grant or restrict roles based on whether members (“End Users”) hold certain NFTs or tokens in their wallets. The Service updates user roles in real-time on Discord, based on the presence or absence of NFTs/tokens in registered wallets.

• Payments are processed via the Solana blockchain through a third-party provider, Helio. Please note that Helio is an independent data controller for payment data; see their privacy policy for details.
• Subscriptions are monthly or annual, with different plans (Basic, Advanced, or a Business/Custom plan).
• We may periodically update or modify the Service’s features. We will use reasonable efforts to inform you of significant changes.

2. Acceptance and Eligibility

• Acceptance of Terms: By creating a configuration in Medusa, logging in with Discord, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.
• Age Restrictions: We do not impose a strict age limit; however, if you are under the legal age in your jurisdiction to hold cryptocurrency or enter binding contracts, you must have a parent or guardian’s permission to use the Service.
• Discord Registration: We do not store passwords or create traditional user accounts. Instead, you log in via Discord OAuth2, and we store only limited information (e.g., Discord ID, username). Note that Discord is an independent data controller for user data on its platform; you can find their privacy policy here: https://discord.com/privacy.

3. Plans, Payment, and Renewal

The Service is available under different plans (Basic, Advanced, or Business/Custom). Each plan includes a certain number of collections, tokens, and rules you can configure. Add-ons (extra collections, tokens, or rules) are available at separate fees.

• Payment: All fees are paid in cryptocurrency (Solana) through Helio. You are responsible for transaction fees and any applicable taxes.
• No Automatic Renewal: Subscriptions do not automatically renew. You will receive notifications in a dedicated Discord channel (created by the Medusa bot) at 7 days, 3 days, and on the final day before your subscription expires. If you do not manually renew, the subscription expires and the Service ceases to function automatically after expiration.
• Refunds and Cancellations (14-Day EU Withdrawal): If you are an EU consumer, you have the right to withdraw from the purchase within 14 days of your initial subscription payment, without giving any reason. To exercise your right of withdrawal, please email [email protected]. We will process your refund within a reasonable timeframe, subject to any applicable legal requirements.

4. User Conduct and Restrictions

• Prohibited Uses: You may not impersonate other communities or engage in scams. You may not upload illegal, harassing, pornographic, or otherwise objectionable images or text in your server or rule configurations.
• True and Accurate Billing Information: When providing billing details, you must provide accurate personal or business information.
• Discord Compliance: You also agree to abide by Discord’s Terms of Service and Community Guidelines. We are not responsible for actions Discord may take against your server or content.
• Enforcement: We reserve the right to remove any content and/or terminate or suspend your subscription without refund if we believe you have violated these Terms or any applicable laws.

5. Intellectual Property Rights

Medusa software, source code, logos, and brand assets are owned by Mida Labs s.r.l. We grant you a limited, non-exclusive, revocable license to use the Service during your subscription. Any NFTs, tokens, or images used by you in configurations remain your property or the property of their rightful owners.

6. Third-Party Services and Disclaimer

• Discord and Solana: We integrate with Discord’s platform and the Solana blockchain. Availability or functionality issues on Discord or Solana are beyond our control.
• Downtime: We strive for high uptime but do not guarantee uninterrupted access. In case of downtime, we aim to resolve issues within 7 days and are not liable for losses due to unavailability.

7. Termination and Suspension

• User Termination: You may discontinue use of the Service at any time by removing the Medusa bot or ceasing integration.
• Termination by Us: If you violate these Terms or applicable laws, we may suspend or terminate your subscription without refund.
• Data Retention: We retain necessary payment data as required by law. Other data may be deleted in accordance with our Privacy Policy.

8. Disclaimers of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We make no warranty that (a) the Service will meet your requirements, (b) the Service will be uninterrupted or error-free, or (c) the data or results provided are accurate or reliable.

9. Limitation of Liability

To the fullest extent permitted by law, Mida Labs, its affiliates, directors, employees, and agents are not liable for any indirect, consequential, incidental, special, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data. In no event shall our total liability for any claims arising out of or related to these Terms or the Service exceed the amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

10. Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.
• Venue & Jurisdiction: Any dispute arising out of or relating to these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts located in Italy.
• No Class Actions: You agree that any dispute will be resolved on an individual basis and you may not bring a claim in a class action, consolidated, or representative proceeding.

11. Privacy & Cookies

Your use of the Service is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use, and protect personal data, and how we use cookies for essential authentication and session management.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting an updated version on the Website or by other appropriate means. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
